A counter offer means the person receiving an offer changes its terms. By doing so, they refuse the original offer, so the original offer ends.

It is not an acceptance, because acceptance must agree to the terms exactly as they were made. The counter offer is itself a new offer, but in law it first operates as a rejection of the old one.
